Service description
AgentWorks provides a cloud-based platform for configuring, deploying, and operating AI-assisted workflows ("Services") for business customers. Features may include agent templates, integrations, knowledge retrieval, approvals, logging, and analytics, as described on our website and in your order form or online plan.
We may update the Services for maintenance, security, or product improvement. Non-material changes may ship without notice; material adverse changes to prepaid plans will be communicated where required by contract or law. Documentation and SLAs, if any, are defined in your subscription agreement.
User responsibilities
You agree to:
- Provide accurate registration information and keep credentials confidential.
- Ensure you have the rights and consents needed for any content, prompts, or personal data you submit to the Services.
- Configure human oversight, access controls, and data retention in line with your policies and applicable law.
- Use the Services only for lawful business purposes and in accordance with these Terms and any acceptable use rules we publish.
You are responsible for the acts and omissions of your users (employees, contractors, and invited guests) as if they were your own.
Acceptable use policy
You must not use the Services to:
- Violate applicable law, including privacy, export control, sanctions, IP, or AI-specific obligations in your sector.
- Generate, distribute, or facilitate malware, spam, phishing, hate speech, harassment, or sexual content involving minors.
- Attempt to probe, scan, or breach our systems, other tenants, or third-party services without authorization.
- Reverse engineer our software except where mandatory statutory rights apply.
- Overload or disrupt infrastructure (e.g. denial-of-service style traffic) beyond normal fair use.
We may investigate suspected abuse, suspend or terminate access, remove content, and cooperate with authorities where legally required.
Payment terms
Paid plans are billed according to the prices and billing cycle shown at checkout or in your order. Unless stated otherwise, fees are exclusive of VAT and other taxes you are responsible for. Late payment may result in suspension of Services after notice where permitted.
Usage-based components (for example tokens or metered API calls) are charged as described in-product. You are responsible for monitoring usage within your workspace. Refund policies, if any, are stated at purchase or in your enterprise agreement.
Liability limitations
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are void.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of the Services, except where such exclusion is prohibited (for example, in case of intent, gross negligence, or injury to life or body under mandatory law).
Our aggregate liability for all claims relating to the Services in any twelve-month period is limited to the fees you paid us for the Services during that period (or, for free tiers, a nominal statutory minimum where required). Nothing in these Terms limits liability that cannot legally be limited.
Termination
You may stop using the Services and close your account according to in-product flows. We may suspend or terminate access if you materially breach these Terms, fail to pay when due, or if we must comply with law or protect the security of the platform.
Upon termination, your right to use the Services ceases. We may delete or retain data as described in our Privacy Policy and your DPA (if applicable). Provisions that by nature should survive (e.g. liability limits, governing law) remain in effect.
Governing law (Netherlands / EU)
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules that would require another jurisdiction's law. Courts in the Netherlands have exclusive jurisdiction for disputes, subject to mandatory consumer protections if you qualify as a consumer under EU law and to any non-waivable rights to sue in your home courts.
The United Nations Convention on Contracts for the International Sale of Goods does not apply. EU regulations on online dispute resolution or consumer protection apply where they are mandatory and cannot be contractually waived.
